These Terms & Conditions govern your use of the GoWest.ai website, services, BizVantage offerings, assessments, reports, policy documents, advisory services, workshops, subscriptions, digital deliverables, and related offerings provided by West McDonald Co. operating as GoWest.ai ("GoWest.ai," "we," "our," or "us").

By using our website, purchasing services, subscribing to BizVantage, creating an account, engaging GoWest.ai for advisory work, or using any GoWest.ai or BizVantage deliverables, you agree to these Terms & Conditions.

1. Who We Are

GoWest.ai is operated by West McDonald Co. and provides business-to-business AI advisory, assessment, policy, governance, workflow, and enablement services.

Our customers include businesses, MSPs, IT service providers, office equipment dealers, office products dealers, consultants, advisors, and channel partners.

2. Our Services

GoWest.ai services may include, but are not limited to:

• AI readiness assessments
• BizVantage assessment and partner services
• AI workflow assessments
• AI policy and governance support
• Workflow opportunity analysis
• Executive summaries and strategic recommendations
• AI transformation planning
• Fractional CAIO advisory
• Workshops, training sessions, and enablement support
• Custom AI assistant and workflow recommendations
• Policies, procedures, reports, templates, and related digital deliverables

Specific services, deliverables, timelines, fees, and responsibilities may be described in a proposal, invoice, order form, subscription plan, checkout page, statement of work, or separate written agreement.

3. BizVantage Services

BizVantage is a business-to-business AI assessment, workflow, policy, and enablement offering designed for businesses, MSPs, dealers, consultants, advisors, and channel partners.

BizVantage services may include AI workflow assessments, policies, procedures, reports, customer-facing recommendations, and related digital outputs. BizVantage services are typically billed quarterly, upfront, unless otherwise stated in a written agreement.

4. BizVantage Partner Use and White-Label Rights

Approved BizVantage partners may use BizVantage assessment outputs, AI workflow assessments, policies, procedures, and related deliverables with their own customers, subject to these Terms and any applicable partner agreement.

Approved BizVantage partners may white-label approved BizVantage assessment and policy outputs for use with their customers.

White-label rights apply only to approved BizVantage outputs and do not transfer ownership of GoWest.ai's underlying methods, systems, templates, software, processes, platform, know-how, trademarks, branding, or intellectual property unless explicitly stated in a separate written agreement.

GoWest.ai may revoke or limit white-label usage rights if a partner misuses materials, misrepresents the services, violates these Terms, fails to pay, creates security or reputational risk, or uses the materials in a harmful, deceptive, unlawful, or misleading way.

5. Business Advisory Only

GoWest.ai provides business advisory, workflow, AI readiness, governance, policy, and implementation guidance. GoWest.ai does not provide legal, medical, financial, tax, insurance, employment, credit, investment, accounting, audit, or regulated professional advice unless explicitly stated in a separate written agreement and performed by appropriately qualified professionals.

Clients and partners are responsible for reviewing all recommendations and deliverables with appropriate internal leaders, legal counsel, compliance professionals, HR professionals, financial advisors, accounting professionals, or other qualified experts before relying on them for regulated, sensitive, or high-impact decisions.

6. No Guaranteed Results

GoWest.ai works to identify practical, high-value AI opportunities and support responsible AI adoption. However, GoWest.ai does not guarantee specific revenue, profit, savings, productivity gains, efficiency improvements, customer acquisition, customer retention, implementation outcomes, regulatory outcomes, or business results.

Any estimates, projections, examples, ROI discussions, revenue examples, or business impact scenarios are provided for planning and evaluation purposes only.

7. Client and Partner Responsibilities

Clients and partners are responsible for providing accurate, complete, and timely information required to perform the services. They are responsible for reviewing all deliverables before use, confirming accuracy and suitability, obtaining internal approvals, involving qualified professionals where needed, ensuring compliance, managing customer communication, using AI-related outputs responsibly, and making final business decisions.

8. Sensitive Data Restrictions

Clients, partners, and users should not upload, submit, email, or otherwise provide unnecessary sensitive information to GoWest.ai, BizVantage, or any related tool or workflow unless GoWest.ai has specifically requested it and appropriate safeguards have been agreed.

Sensitive information may include health information, medical records, social insurance numbers, social security numbers, government identification numbers, credit card numbers, payment card data, passwords, security credentials, personal financial information, employee records, customer lists containing personal information, privileged legal documents, confidential financial statements, regulated personal information, and information subject to special contractual, privacy, legal, or regulatory restrictions.

9. Payments and Billing

Fees are due according to the payment terms shown on the applicable invoice, checkout page, proposal, subscription plan, order form, statement of work, or written agreement.

BizVantage subscriptions are generally billed quarterly, upfront, unless otherwise stated in writing. Payments may be collected by credit card, ACH, wire transfer, electronic funds transfer, or other approved payment methods. Online payments may be processed by Stripe or another third-party payment provider.

By purchasing a subscription or recurring service, you authorize GoWest.ai and its payment processor to charge the payment method on file according to the applicable billing schedule.

Some BizVantage plans may include usage limits. If a client or partner exceeds the included amount during a subscription period, GoWest.ai may charge one-time overage fees. Overage fees are non-refundable once paid except in cases of confirmed billing error, duplicate charge, or incorrect charge.

10. Refunds

All payments are non-refundable once payment has been made, except in cases of confirmed billing error, duplicate charge, or incorrect charge. Please review GoWest.ai's Refund Policy and contact lesley@gowest.ai before initiating a payment dispute.

11. Cancellations

Cancellation requests must be submitted directly to GoWest.ai at lesley@gowest.ai. For BizVantage and other subscription-based services, cancellation takes effect at the end of the current paid billing period unless otherwise stated in a written agreement. Cancellation prevents future billing but does not create a refund for the current paid billing period.

12. Scope Changes

Any work outside the agreed scope may require a separate proposal, updated order form, change order, statement of work, or additional fees. GoWest.ai is not obligated to perform additional services unless both parties agree to the revised scope and fees in writing.

13. Third-Party Tools and Platforms

Some services may involve third-party AI tools, software platforms, payment processors, hosting providers, automation tools, productivity platforms, communication tools, or client-owned systems. GoWest.ai is not responsible for the availability, security, pricing, performance, terms, policies, outputs, integrations, or data practices of third-party services.

14. AI Outputs and Human Review

AI-generated, AI-assisted, or automation-supported outputs may contain errors, omissions, outdated information, incomplete analysis, or inaccurate recommendations. All AI-assisted recommendations, reports, policies, workflows, automations, and deliverables should be reviewed by qualified humans before use, publication, reliance, implementation, or delivery to customers.

15. Confidentiality

Each party may receive confidential business, technical, operational, customer, financial, or strategic information from the other party. Both parties agree to use reasonable care to protect confidential information and not disclose it except as required to provide services, comply with law, obtain professional support, or as otherwise authorized in writing.

16. Intellectual Property

Unless otherwise stated in writing, GoWest.ai retains ownership of its pre-existing materials, methodologies, templates, prompts, workflows, assessment frameworks, policy frameworks, software, systems, processes, tools, training materials, strategy models, know-how, trademarks, branding, and other intellectual property.

Upon full payment, clients receive a non-exclusive, non-transferable right to use final deliverables prepared specifically for them for their internal business purposes. Approved BizVantage partners may use and white-label approved BizVantage assessment outputs, AI workflow assessments, policies, procedures, and related deliverables with their customers, subject to these Terms and any applicable partner agreement.

17. Website and Service Use

You agree not to misuse the GoWest.ai website, BizVantage services, deliverables, systems, or materials. You agree not to attempt unauthorized access, interfere with security, upload malicious code, scrape or copy content without permission, misrepresent services, use deliverables for unlawful or harmful purposes, bypass privacy or compliance obligations, provide false information, or use materials in a way that creates reputational, legal, security, or commercial risk for GoWest.ai.

18. Suspension or Termination

GoWest.ai may suspend or terminate access to services, subscriptions, accounts, deliverables, partner rights, or white-label rights if we believe, in our reasonable judgment, that a client, partner, or user has failed to pay amounts due, violated these Terms, misused materials, created a security risk, created legal or reputational risk, provided false information, or used services in an unlawful, harmful, deceptive, abusive, or discriminatory way. Suspension or termination does not create a right to refund amounts already paid unless required by law or expressly stated in a written agreement.

19. Limitation of Liability

To the maximum extent permitted by law, GoWest.ai will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost savings, lost data, business interruption, implementation failure, customer loss, reputational harm, or loss of business opportunity.

To the maximum extent permitted by law, GoWest.ai's total liability for any claim related to services, subscriptions, deliverables, or these Terms will not exceed the amount paid by the customer to GoWest.ai for the specific service giving rise to the claim during the three months before the claim arose.

20. Indemnification

You agree to indemnify and hold harmless GoWest.ai from claims, damages, liabilities, costs, and expenses arising from your misuse of the website, services, BizVantage outputs, white-labeled materials, deliverables, third-party tools, violation of these Terms, violation of applicable law, or use of deliverables in a manner not authorized or properly reviewed.

21. Governing Law

These Terms & Conditions are governed by the laws of the Province of Ontario and the applicable laws of Canada.

22. Changes to These Terms

GoWest.ai may update these Terms & Conditions from time to time. Updates will be posted on this page with a revised "Last updated" date. Continued use of the website, services, subscriptions, or deliverables after updates are posted means you accept the updated Terms.
